Bylaws

Bylaw of the ACM SIGDA Low-Power Technical Committee

Article 1.

Name and Scope


Section 1. Name
This organization will be called the Low-Power Technical Committee (LPTC) of the Special Interest Group on Design Automation, Association for Computing Machinery (the ACM SIGDA).

Section 2. Scope
The scope of the Committee's specialty is to promote research, education and practice of low power design and related techniques. LPTC is organized and operated exclusively for educational, scientific, and technical purposes.

Article 2.

Purpose


Section 1. Research and education support
The mission of LPTC includes collecting and disseminating information related to low power design; organizing projects and working groups for low-power research and education; and providing benchmarks, tools, platforms, models, and suggesting new topics and directions for the low-power research.

Section 2. Services
The mission of LPTC may include sponsoring standalone conferences, symposia, and workshops and/or individual events within existing symposia and conferences; serving as a source of technical information for the ACM SIGDA; and representing the opinions and expertise of the membership of SIGDA on matters of technical interest to LPTC, SIGDA.


Article 3.
Charter


LPTC will exist until dissolved by ACM SIGDA Executive Committee.

Article 4.

Officers, Executive Committee, Due and Privileges


Section 1. Organization
LPTC officers are the Chair and the Vice-Chair, Secretary/Treasurer, Past Chair and three Officers-at-Large. The Executive Committee comprises the officers.

Section 2. Terms
The officers are appointed for two-year terms beginning January 1 of even-numbered years. No member of the Executive Committee may hold positions in more than three consecutive terms or total of five terms. The current Chair may not hold the Chair or the Vice-Chair positions in the next term. The current Vice-Chair may not hold the Vice-Chair position in the next term.

Section 3. Eligibility
Chair and Vice-Chair must have at least five years of professional experience after graduation. Other Officers must have at least three years of professional experience after graduation. Students cannot be Officers. At the time of the start of the appointment, no two Officers can have the same work affiliation; further, they may not be affiliated with two entities if one is the subsidiary of the other entity or both entities are subsidiaries of a third entity. Officers must be recognized by significant technical contribution in low power design field, such as paper publication in conferences and journals and serving on technical program committees or organizing committees of conferences.

Section 4. Chair
The Chair is the principal officer, being responsible for leading LPTC and managing its activities.
The duties of Chair include calling and presiding at LPTC Executive Committee and business meetings; conducting all of LPTC's activities in accordance with the policies of the ACM; making all appointments as authorized herein; and attending SIGDA Technical Committee meetings.

Section 5. Vice-Chair
The duties of Vice-Chair includes assisting Chair in leading and managing LPTC; and attending SIGDA Technical Committee meetings and managing LPTC meetings when Chair is absent.

Section 6. Secretary/Treasurer
The duties of Secretary/Treasurer include maintaining the records and correspondence of LPTC; keeping and distributing the minutes of business and Executive Committee meetings; attending the LPTC business meetings; collecting reimbursements of financial sponsorship amounts as applicable for the LPTC activities through SIGDA.

Section 7. Officers-at-Large
The duties of Officers-at-Large includes assisting as needed in the administration of LPTC; and attending at least one LPTC meeting every year.

Article 5.
Executive Committee, Due and Privileges


Section 1. Organization
The Executive Committee comprises the officers. No person may hold two positions on the Executive Committee.

Section 2. Duties
Specific duties of the Executive Committee includes approval of Bylaw amendments before submission to the SIGDA Executive Committee; approval of conferences, symposia, workshops or sessions sponsored, co-sponsored or held in cooperation with LPTC before submitting to the SIGDA Executive Committee.
A quorum is a majority of the members of the Executive Committee and approval requires a majority vote of those present. Approval by mail ballot requires a majority vote. Only a member of the Executive Committee can make a motion for a vote by the Executive Committee.

All members of, or candidates for, the Executive Committee must be voting Members of ACM and of SIGDA.

Article 6.
Vacancies and Appointments


Section 1. Chair
Should the Chair leave office before his/her term expires, the Vice-Chair will assume the duties of the Chair and the SIGDA Executive Committee in consultation with the new Chair will appoint a new Vice-Chair.

Section 2. Vice-Chair
Should the Vice-Chair leave office before his/her term expires, the SIGDA Executive Committee in consultation with the Chair will appoint a new Vice-Chair.

Section 3. Officers-at-Large
Should any other office becomes vacant, the Chair in consultation with the Vice-Chair will appoint a new person for the vacant office.
All appointments expire automatically when the Chair's term of office expires.

Article 7.
Action Committee


Section 1. Purpose of Action Committee
The LPTC Chair in consultation with the Vice-Chair can organize Action Committees to help the Executive Committee execute particular projects or better operate the LPTC.

Section 2. Duties
Each Action Committee would be assigned a given task and would be dissolved upon the task’s completion or before that, if decided by the Chair in consultation with the Vice-Chair.

Article 8.
Reports and Records


LPTC Chair is responsible for filing reports about LPTC as required by the SIGDA Executive Committee. These include:
An annual report on the activities during the previous year;

Article 9.
Appointments


Section 1. Chair and Vice-Chair
The SIGDA Executive Committee in consultation with current Chair and Vice-Chair of LPTC appoint next Chair and Vice-Chair.

Section 2. Secretary/Treasurer
The new Chair and Vice-Chair will appoint the new Secretary/Treasurer.

Section 3. Officers-at-Large
The new Chair and Vice-Chair will appoint new Officers-at-Large.

Section 4. Action Committee
The members of the Action Committees are selected by the Chair in consultation with the Vice-Chair.

Article 10.
Amendments


Section 1. Approval
These bylaws may be amended by a majority vote of the SIGDA Executive Committee.

Section 2. Proposal
Amendments to these bylaws may be proposed by the LPTC Executive Committee or the SIG Executive Committee.

Article 11.
Dissolution


Should LPTC be dissolved, all the ongoing activities sponsored or supported by LPTC will be transferred to SIGDA.

Article 12.
Meetings


LPTC will conduct at least two business meetings each year, normally in conjunction with the annual International Symposium on Low Power Electronics and Design and the Design Automation Conference.
All events sponsored by LPTC will be open to all members of the ACM. LPTC may hold meetings only in places that are open to all classes of members of the ACM. The Executive Committee may meet in a closed session during business meetings.

Article 13.
Consistency


The Constitution, Bylaws, and policies of the ACM and of the SIGDA take precedence over any conflicting provisions of these bylaws or internal policies of LPTC.
